1. Introduction


Welcome to Cyclone Labs. By using our services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided


Cyclone Labs offers specialized biotechnology services involving the handling, processing, and analysis of physical biological materials such as plasmids, custom DNA segments, and related goods supplied by our customers.

3. Customer Materials


You agree to send physical biological materials to Cyclone Labs solely for the purposes agreed upon in our service contract. You represent and warrant that you have all necessary rights, permissions, and consents to send these materials to us and that they comply with applicable laws and regulations.

4. Ownership and Use of Materials

​

  • All biological materials, samples, and physical goods you send to Cyclone Labs remain your sole property.
     

  • Cyclone Labs does not claim ownership of these materials or any derivatives or products created from them.
     

  • Any services, methods, or proprietary goods developed and provided by Cyclone Labs remain the exclusive property of Cyclone Labs.
     

  • You agree not to claim ownership over Cyclone Labs’ services, processes, or proprietary products.
     

5. Confidentiality

  • Cyclone Labs acknowledges that your biological materials and any related information you provide are confidential and proprietary to you.
     

  • We agree to keep all customer materials and information strictly confidential and to use them only for the agreed services.
     

  • Cyclone Labs will not disclose your materials or any information derived from them to any third parties without your express written consent, except as required by law or for the performance of the agreed services.
     

  • Similarly, you agree to maintain the confidentiality of any proprietary information or methods Cyclone Labs provides.
     

6. Non-Disclosure and Third-Party Sharing Limitations

  • Both parties agree to enter into a mutual non-disclosure agreement that prohibits sharing any confidential information or materials received from the other party with any third party without prior written consent.
     

  • Cyclone Labs will only share customer materials or information with subcontractors or partners as necessary to perform the services, and only under equivalent confidentiality obligations.
     

  • Any unauthorized sharing or use of confidential information by either party will constitute a material breach of these terms.
     

7. Use of Services


You agree to use Cyclone Labs services only for lawful purposes and in accordance with all applicable laws and regulations.

8. Liability and Indemnity


Cyclone Labs will exercise reasonable care in providing services but disclaims liability for any loss or damage arising from the use of customer materials or the results of services provided. You agree to indemnify and hold Cyclone Labs harmless from any claims related to your use of the service or materials.

9. Termination


Cyclone Labs may terminate or suspend services at any time for violations of these Terms or for other legitimate business reasons.

10. Changes to Terms


We may update these Terms from time to time. Continued use of the services after changes constitutes acceptance of the updated Terms.

11. Governing Law


These Terms are governed by the laws of the jurisdiction of the State of New Hampshire in which Cyclone Labs operates.
